Commercial Terms & Conditions

These terms apply to all work for business, managing agent, block and other non-household clients.

1. Who we are and definitions

  • We / us: Ace Bin Cleaning Ltd, company number 15664903, registered office 49 Parry Road, Southampton, SO19 0HT. VAT registered. Waste carrier licence CBDU667287.
  • Client / you: the business, managing agent, residents' management company, landlord or other organisation that accepts our quote.
  • Site: each address named in the quote.
  • Services: the work described in the accepted quote.
  • Contract: the accepted quote plus these terms. If they conflict, the quote wins.

2. Our services

We offer four core services:

  • Commercial Wheelie Bin Cleaning: wheelie bins of all sizes up to 1,280 litres, cleaned inside and out, sanitised and deodorised.
  • Bin Store Cleaning & Sanitising: bin stores washed down, sanitised and deodorised.
  • Waste Removal: general and bulky waste cleared and taken to a licensed site.
  • Bin Store Reset: a one-off deep clean and clear-out to bring a neglected bin store back to standard.

We use our own water, equipment and products, so we don't need your water or power supply. We do not clean clinical or medical waste bins.

3. Quotes and site visits

  • Before quoting, we carry out a site visit so the price reflects your bins, bin store and access, and so we can complete a risk assessment.
  • Quotes are valid for 30 days and are priced per bin, per visit, or as a fixed price for the job, plus VAT.
  • We start work only once you've accepted the quote in writing (email is fine). Acceptance means you agree to these terms.
  • With each quote we supply the risk assessment and method statement (RAMS) and COSHH assessments for the service, together with our Health & Safety Policy. Our insurance letter, waste carrier licence and safety data sheets are available on request.
  • If the site, number or size of bins, or access is different from what we saw at the site visit, we may adjust the price. We'll agree any change with you first.

4. Scheduling and access

  • Regular cleans follow the schedule set out in your quote, timed around your bin collections.
  • We visit between 8am and 6pm, Monday to Friday, unless agreed otherwise.
  • We close over Christmas. Visits that fall during the shutdown are moved, and we'll confirm the new dates in advance.
  • We may need to move a visit because of severe weather, vehicle breakdown, staff illness or road closures. We'll tell you and return as soon as we can.
  • Please give us any key codes, fobs or keys we need, and tell us about changes to access. Keys and fobs are kept securely and returned at the end of the contract.

5. Your responsibilities

  • Arrange for bins to be emptied by your waste contractor before our visit, or tell us your collection days so we can schedule straight after.
  • Give us safe access to the bins and bin store: clear of parked cars, stored items and other obstructions.
  • Tell us about any site hazards, rules or permits we need to follow (for example sign-in, permit to work, or quiet hours).
  • Let us have a suitable place to park our van and equipment close to the bins.
  • Tell us by 9am on the day if a visit can't go ahead.

6. Bins and waste we won't handle

For the safety of our team and the public, we won't clean or remove:

  • clinical, medical or sharps waste
  • hazardous waste, including chemicals, asbestos, paint, oil, gas bottles and batteries
  • bins containing loose human or animal waste or a live pest infestation
  • waste that is still in the bin after the collection day

If we find any of these, we'll photograph it, tell you, and leave that bin or item.

7. Prices

  • Prices are as set out in the accepted quote and are plus VAT at the current rate.
  • Waste removal and Bin Store Reset prices include disposal and tip fees, unless the quote says otherwise.
  • We review prices once a year. We'll give you at least 30 days' written notice of any increase, and you can end the contract before it applies (section 10).
  • Extra work you ask for on the day, beyond the quote, is charged at our hourly rate plus VAT, and we'll confirm the price with you before we start.

8. Invoicing and payment

  • We invoice after each visit, or monthly for regular cleans if agreed.
  • Payment is due within 28 days of the invoice date.
  • You can pay by bank transfer (details on every invoice), Direct Debit through GoCardless, or card through the link on your invoice.
  • If you need a purchase order number on invoices, please give it to us before work starts. A missing PO number is not a reason to delay payment for work already done.
  • Please raise any query about an invoice within 7 days. The undisputed part must still be paid on time.

9. Late payment

  • If an invoice isn't paid by the due date, we may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. Interest is charged at 8% a year above the Bank of England base rate (the reference rate, set on 30 June and 31 December), from the day after payment was due until it is paid.
  • We may also claim fixed compensation for the cost of recovering the debt: £40 for an invoice under £1,000, £70 for £1,000 to £9,999.99, and £100 for £10,000 or more. Where our reasonable recovery costs are higher, we may claim the difference.
  • If an invoice is more than 30 days overdue, we may suspend all visits until the account is paid in full. Suspension doesn't end the contract or your obligation to pay.

10. Term and ending the contract

  • Regular services start on the first visit and continue until either of us ends them. There is no minimum number of cleans.
  • Either of us can end a regular service by giving 30 days' written notice (email is fine). Visits during the notice period go ahead and are charged as normal.
  • One-off jobs (Waste Removal, Bin Store Reset, one-off cleans) can be cancelled free of charge up to 48 hours before the booked date. Later than that, we may charge for costs we've already incurred, such as tip bookings.
  • We may end the contract straight away if invoices stay unpaid after suspension (section 9), if the site becomes unsafe, or if our team is treated abusively.
  • When the contract ends, you pay for all work done up to the end date, and we return any keys and fobs.

11. Missed and aborted visits

  • If we can't carry out a visit because the bins weren't emptied, access was blocked, or the site was unsafe, and you didn't tell us by 9am that day, we may charge the visit at the normal price, because the visit was still made for you.
  • If we miss a visit for our own reasons, there's no charge and we'll return as soon as we can.
  • We'll tell you on the day about any bin we couldn't clean and why, with a photo where possible.

12. Waste removal and paperwork

  • Waste we remove is taken to a licensed waste site by us, as a registered waste carrier (CBDU667287).
  • For waste removal jobs, we issue a Waste Transfer Note: one per job, or an annual note for regular collections. Waste Transfer Notes are not issued for bin cleaning or bin store cleaning, as no waste is removed.
  • You confirm that the description of the waste you give us is accurate. As the waste producer, you remain responsible for your own waste duty of care.

13. Health and safety

  • We work to our Health & Safety Policy and to a risk assessment, method statement and COSHH assessments for each service.
  • Our team is trained, wears suitable PPE and will follow your reasonable site rules.
  • We may stop work, or refuse to start, if conditions are unsafe. If you created or failed to tell us about the hazard, section 11 applies.

14. Insurance and liability

  • We hold public liability insurance of £5 million and employers' liability insurance of £10 million. Our insurance letter is available on request.
  • If we damage your property through our negligence, we'll repair it or pay the reasonable cost of putting it right. Please report any damage within 48 hours, with photos if possible.
  • We're not responsible for bins or bin stores that are already damaged or worn, for items left in bins, or for damage we didn't cause.
  • We're not liable for loss of profit, loss of business, or any indirect or consequential loss.
  • Apart from damage covered by our public liability insurance, our total liability in any 12 months is limited to the total charges paid by you in that period.
  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow to be limited.

15. Quality and complaints

If you're not happy with a clean, tell us within 48 hours, with photos if possible, and we'll re-clean the affected bins or bin store free of charge at our next visit, or sooner if agreed. Any other complaint should go to Mark Hayter, Director, at mark@acebincleaning.co.uk, and we'll reply within 5 working days.

16. Data

We hold your contact details and site information only to provide the Services, invoice you and keep you informed about your account. We handle personal data in line with UK GDPR and don't sell it. Key codes and access details are kept securely and shared only with the team member doing the work.

17. General

  • We may use trusted subcontractors to carry out the Services. We remain responsible for their work.
  • Neither of us is liable for delays caused by events outside our reasonable control, such as extreme weather, fuel shortages or road closures.
  • The contract is the whole agreement between us. Changes must be agreed in writing (email is fine).
  • If any part of these terms is found invalid, the rest still applies.
  • We may update these terms. We'll give you at least 30 days' written notice before changes apply to your contract.
  • These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
